Terms of Service

Welcome to quirium ("Platform"), a service owned and offered by Simon Brebeck ("we", "us", "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and us regarding your use of the Platform. By accessing or using our Platform or visiting any of its related pages, you acknowledge that you have read, understood, and agree these Terms, so please read them carefully. We reserve the right to modify these Terms at any time, and your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. If you do not agree to these Terms, you must not access or use the Platform. If you do not agree with the modified Terms, you can delete your account at any time.

Communications

By using our Platform, you consent to receive electronic communications from us. These communications may include notices about your account (e.g., payment authorizations, invoices, changes in password or payment method, confirmation messages, technical notices, updates on security practices, and administrative messages). You agree that any notices, agreements, disclosures, or other communications we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
You can opt out of receiving marketing emails from us at any time by following the unsubscribe instructions provided in those emails. However, you will continue to receive essential service communications related to your account, such as billing notifications and security updates.
If you represent a business or organization, you agree that we can use your business name and logo in our marketing materials, including on our website and in promotional emails, to indicate that you are a user of our Platform. If you do not wish for us to use your business name and logo in this manner, please contact us at mail@quirium.app.

Intellectual Property

The Platform and its original content, features, and functionality are and will remain the exclusive property of quirium. You agree that you will not reproduce, duplicate, copy, modify, reverse engineer sell, resell, or exploit any portion of the Platform without express written permission from us.
We claim no intellectual property rights over the material you provide to the Platform. Your profile and materials uploaded remain yours. However, by uploading content to the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content solely for the purpose of providing and improving the Platform. This license will terminate when you delete your content or your account, except to the extent that we have shared your content with others and they have not deleted it.

License to Use the Platform

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for your personal or business purposes. This license does not allow you to use the Platform in any way that violates these Terms.

Subscriptions and Payments

Some parts of the Platform are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (e.g., monthly or annually) depending on the type of subscription plan you select when purchasing a Subscription. At the end of each billing period, your Subscription will automatically renew under the same conditions unless you cancel it or we cancel it.
You may cancel your Subscription renewal either through your online account management page or by contacting our customer support team. If you cancel your Subscription, you will continue to have access to the Platform until the end of your current billing period.

Payment Terms

All payments for Subscriptions are processed through our third-party payment processor. By purchasing a Subscription, you agree to the payment terms and conditions of our payment processor. You authorize us to charge your chosen payment method for the Subscription fees and any applicable taxes. If your payment method fails or is declined, we reserve the right to suspend or terminate your access to the Platform until the outstanding balance is paid in full.

Free Plan

The Platform offers a free plan that allows you to use the Platform without any charges. However, this free plan may have limitations on features, usage, or support compared to paid plans. We reserve the right to modify or discontinue the free plan at any time without notice.

Paid Plans

The Platform offers various paid plans with different features and pricing. By subscribing to a paid plan, you agree to pay the applicable fees as specified on the Platform. All fees are non-refundable, except as required by applicable law or as explicitly stated in our refund policy.
We reserve the right to change the pricing of our paid plans at any time. If we change the pricing, we will provide you with notice of the change, and you will have the option to continue using your current plan or upgrade to a new plan.
If you choose to upgrade or downgrade your plan, the new plan will take effect immediately, and you will be charged the prorated amount for the remainder of the current billing period. If you downgrade your plan, you will lose access to the features and functionality of the higher-tier plan immediately, and you will not be entitled to any refunds for the unused portion of the higher-tier plan.

Free Trials and Promotions

We may offer free trials or promotional offers for our paid plans. These offers are subject to specific terms and conditions, which will be provided at the time of the offer. The General Terms of Service apply to all free trials and promotional offers unless otherwise stated in the offer. If you take advantage of a free trial or promotional offer, you agree to comply with the terms of that offer.
At the end of a free trial or promotional period, your access to the paid features will be automatically terminated unless you choose to subscribe to a paid plan. You will not be charged for any fees during the free trial or promotional period.

Right of Withdrawal

If you are a consumer and reside in the European Union, you have the right to withdraw from your Subscription within fourteen (14) days of the purchase date without giving any reason. To exercise your right of withdrawal, you must inform us of your decision to withdraw by sending a clear statement (e.g., a letter sent by post or email) to our contact information provided below.
If you withdraw from your Subscription within the fourteen (14) day period, we will refund you all payments received from you. The refund will be processed without undue delay and no later than fourteen (14) days from the day on which we receive your withdrawal notice.

Refunds

Refund requests for Subscription payments are evaluated on a case-by-case basis. We do not guarantee refunds for any fees paid, except as required by applicable law. If you believe you are entitled to a refund, please contact our customer support team with details about your case.
Refunds will not be issued for unused portions of a Subscription period after cancellation unless explicitly stated in a special refund policy or promotion. In the event of a termination initiated by us due to your breach of these Terms, you will not be entitled to any refunds.

User Conduct and Responsibilities

Users are granted freedom to use the Platform for personal or business purposes, provided that such use does not violate these Terms or applicable laws. However the following actions are strictly prohibited:

Engaging in illegal activities through the Platform.
Attempting unauthorized access to the Platform, its systems, or networks.
Transmitting harmful code, such as viruses, worms, or Trojan horses.
Sharing content that is defamatory, obscene, abusive, or otherwise objectionable.
Harassing, threatening, or violating the legal rights of others.
Spreading hate speech, offensive material, or content promoting discrimination.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.

Limitation of Liability

To the fullest extent permitted by law, in no event shall we, our affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses resulting from:

Your use of or inability to use the Platform;
Unauthorized access to or use of your account or data;
Any other matter relating to the Platform.

Our liability to you for any claims arising out of these Terms or your use of the Platform is limited to the amount you have paid us in the twelve (12) months preceding the claim.

Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we, in our sole discretion, believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
Upon termination, all licenses granted to you will immediately cease, and you must promptly discontinue all use of the Platform. Any provisions of these Terms that by their nature should survive termination will survive, including, but not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Service Availability, Limitations and Support

We strive to provide a reliable and high-quality service, but we cannot guarantee that the Platform will be available at all times or without interruptions. We reserve the right to modify, suspend, or discontinue the Platform or any part of it at any time without notice. We will make reasonable efforts to notify you of any planned maintenance or downtime.
We provide support for the Platform through our help center and email support. However, we do not guarantee that we will respond to all support requests or that we will resolve all issues in a timely manner. Our support is provided on a best-effort basis, and we are not liable for any delays or failures in providing support.
Premium support is available for users on paid plans. This support may include priority response times, dedicated support channels, and additional assistance with technical issues. The specific terms and conditions of premium support will be provided at the time of purchase or upgrade to a paid plan.

The Platform and the services provided are offered "as is" and "as available" without any warranties of any kind, whether express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We make no warranties regarding the accuracy, reliability, or completeness of any content or information provided through the Platform.
We disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will meet your requirements or that any defects or errors will be corrected. You acknowledge that you use the Platform at your own risk and that we are not liable for any damages or losses resulting from your use of the Platform, including, but not limited to, any direct, indirect, incidental, special, consequential, or punitive damages.
Specifically, "consequential damages" include, but are not limited to, loss of profits, loss of data, loss of use, loss of goodwill, or any other intangible losses, even if we have been advised of the possibility of such damages. In no event shall our total liability to you for all damages, losses, and causes of action arising out of or related to these Terms or your use of the Platform exceed the amount you have paid us in the twelve (12) months preceding the claim.
It is important to note that some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for consequential or incidental damages. Therefore, some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in [Aachen, Germany].

Statute of Limitations

You agree that any claim or cause of action arising out of or related to these Terms or your use of the Platform must be filed within one (1) year after the claim or cause of action arose, or it will be permanently barred. This limitation applies to all claims, whether based on contract, tort, statute, or any other legal theory.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect. The invalidity of any provision shall not affect the validity of the remaining provisions, which shall continue to be valid and enforceable.

Miscellaneous

These Terms constitute the entire agreement between you and us regarding your use of the Platform and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter of these Terms. Any failure by us to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. If we do not exercise or enforce any right or provision of these Terms, it does not constitute a waiver of such right or provision.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms at any time without notice to you.
